Lateroo Terms of Service

These Terms of Service govern your access to and use of the Lateroo websites, web application, and related services.

These Terms of Service ("Terms") govern your access to and use of the Lateroo websites, web application, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms.

1. Description of the Service

Lateroo is a personal payment reminder service.

Users voluntarily forward payment-related emails to a private forwarding address assigned to their account. Lateroo extracts information such as due dates and amounts and sends reminder emails before payment deadlines.

Lateroo:

  • is not a bank;
  • is not a payment institution;
  • does not execute payments;
  • does not access users' inboxes;
  • does not provide financial advice;
  • does not guarantee successful extraction of invoice information;
  • does not guarantee reminder delivery.

The original invoice, merchant, lender, or payment provider always remains the authoritative source.

2. Eligibility

You must be at least 18 years old or otherwise have the legal capacity required under applicable law to use the Service.

You may only use the Service for lawful purposes.

The Service is intended primarily for personal and household payment reminders, not as an enterprise, accounting, payroll, debt-collection, or regulated financial workflow.

If you use the Service on behalf of another person, company, or organization, you represent that you are authorized to do so.

We do not currently offer a standard customer data processing agreement for business customers. If you need Lateroo to process personal data on behalf of a business, organization, or other controller as a processor, you must contact us and receive a written agreement before using the Service for that purpose.

3. User Responsibilities

You remain solely responsible for:

  • verifying invoice information;
  • paying obligations on time;
  • reviewing extracted information for accuracy;
  • maintaining access to your email account;
  • ensuring that reminder emails are not filtered or blocked.

You should regularly check the original invoice, merchant account, lender account, or payment provider account for authoritative payment information.

Lateroo is intended solely as a convenience and memory aid.

Missing a reminder does not relieve you of your payment obligations.

4. Forwarded Content

You may only forward emails and attachments that:

  • belong to you or that you are authorized to share;
  • are relevant to payment reminders;
  • comply with applicable laws.

You agree not to submit:

  • illegal content;
  • malicious software;
  • spam;
  • content that infringes the rights of others.

You remain responsible for all content submitted through your account.

5. Accounts

Authentication is provided through Clerk, a third-party identity provider used by Lateroo.

You are responsible for maintaining the confidentiality of your account credentials.

You agree to provide accurate information and keep your email address up to date.

You are responsible for all activity that occurs through your account unless caused by our breach of these Terms or mandatory law provides otherwise.

6. Free and Premium Plans

Free Plan

The Free plan includes:

  • obligation tracking;
  • due-date reminder emails;
  • monthly digest emails;
  • attachment metadata.

Premium Plan

The Premium plan additionally includes:

  • reminder emails before due dates;
  • attachment storage and downloads;
  • additional Premium-only features that may be introduced over time.

Features may evolve, be improved, or be discontinued over time.

7. Billing and Refunds

Premium subscriptions are sold and billed through Paddle, which acts as Merchant of Record for all purchases.

Paddle is responsible for payment processing, invoicing, taxes, and related billing matters.

Paddle may apply its own checkout, payment, tax, and customer terms to purchases. You should review the Paddle checkout information before completing a purchase.

Subscriptions renew automatically until cancelled.

Users may manage or cancel their subscriptions through the customer portal.

Users may cancel at any time. Cancellation prevents future renewals, and Premium access continues until the end of the current billing period.

If a subscription payment fails, Premium access may be paused, downgraded, or limited until payment is completed or the subscription is restored.

Refund Policy

We offer a fourteen (14) day no-questions-asked refund policy for Premium subscriptions.

If you are not satisfied with the Service, you may request a full refund within fourteen (14) days of the applicable charge by contacting:

Refunds may be issued directly by us or processed through Paddle.

Nothing in this refund policy limits any mandatory consumer rights that may apply under applicable law.

Where mandatory consumer law gives you additional cancellation, withdrawal, refund, warranty, or statutory rights, those mandatory rights continue to apply.

8. Service Availability

Lateroo is provided on a best-effort basis.

We do not guarantee:

  • uninterrupted availability;
  • error-free operation;
  • successful email delivery;
  • successful extraction of invoice information;
  • that reminders will always arrive before payment deadlines.

Temporary outages, maintenance periods, third-party failures, and circumstances beyond our control may affect the Service.

9. Intellectual Property

The Service, software, branding, and associated materials remain the property of Served.ch GmbH or its licensors.

You retain ownership of content you submit.

You grant us a limited, non-exclusive license to process submitted content solely for providing the Service.

10. Suspension and Termination

We may suspend or terminate accounts that:

  • violate these Terms;
  • misuse the Service;
  • create security risks;
  • engage in unlawful activity.

Users may delete their accounts at any time.

Stored data is removed in accordance with the Privacy Policy.

Account deletion is intended to remove the user's active account data, but certain billing, accounting, tax, security, backup, or legal records may be retained where required or permitted by law.

11. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVED.CH GMBH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Lateroo does not guarantee that reminders will always be delivered or that extracted information will always be accurate.

12. Limitation of Liability

To the maximum extent permitted by law, Served.ch GmbH and its directors, employees, contractors, and affiliates shall not be liable for:

  • missed payments;
  • late fees;
  • interest charges;
  • loss of profits;
  • indirect damages;
  • consequential damages;
  • damages caused by failures of third-party providers.

Because Lateroo is a reminder tool only, users remain responsible for verifying and paying their obligations.

To the maximum extent permitted by law, the aggregate liability of Served.ch GmbH shall not exceed the amount paid by the user to Lateroo during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

13. Third-Party Services

Lateroo relies on third-party providers to operate:

  • Clerk — authentication and identity management;
  • Paddle — payment processing and subscription billing;
  • Scalingo — application hosting and database;
  • OVHcloud — attachment file storage;
  • Mailgun — inbound email routing and reminder delivery.

We are not responsible for interruptions or failures caused by these third-party providers.

Each provider is subject to their own terms, policies, availability limits, and security measures.

14. Changes to the Service and Terms

We may modify, improve, add, or remove features at any time.

We may update these Terms from time to time.

Updated Terms become effective when published.

Continued use of the Service after such changes constitutes acceptance of the revised Terms.

Where a change materially affects your rights or obligations and applicable law requires notice, we will provide notice through reasonable means, such as the Service or email.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Switzerland.

Subject to mandatory consumer protection laws, the exclusive place of jurisdiction for disputes arising out of or relating to these Terms or the Service shall be Basel, Switzerland.
